By participating in competitions and utilizing services offered by third-party developers through our platform, you acknowledge and agree that Zappy Global is not the direct provider of these competitions or services.
When you create an account with us (referred to as "your Account"), engage with our services in any capacity, click the "I ACCEPT" button below, download any application, or register for and participate in any competition, you are confirming that: (A) you have thoroughly read and understood these Terms and Conditions of Service, as well as all applicable rules associated with each competition ("Rules"). Collectively, these Terms, including any policies and the Rules, will be referred to as "the Terms"; (B) you agree to be bound by these Terms; and (C) you are legally authorized and fully capable of accepting and agreeing to these Terms.
1. General Rule
a. Provided you agree to and continually adhere to these Terms and Conditions, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable, and limited license. This license allows you to access and use our platform and its content through a supported web browser or mobile device, exclusively for your personal entertainment purposes and no other use.
b. We also grant you a similar license to use the avatars available on the Platform, but only for personal use.
c. We reserve the right to alter, modify, change, or update the Terms at any time. In the event of significant modifications, we will post a notice on our website (referred to as "the Website"). You may check the "Updated" legend at the top of the page to know when the Terms were last revised. Continued participation in competitions or using our software or services indicates your acceptance of any updated or modified Terms. It is your responsibility to regularly review these Terms for any changes.
d. You are not allowed to modify these Terms unless there is a written agreement between you and us, signed by both parties. For the purposes of these Terms, "writing" excludes emails or electronic or facsimile signatures.
e. To be eligible for account registration, participation in competitions, receiving services, or downloading software, you must: (a) be a natural person who is at least 18 years of age and the rightful owner of the email address used during account registration; (b) possess the legal capacity to enter into a contract with us; (c) be physically located in a jurisdiction where participation in the relevant competition is legally permitted; and (d) consistently abide by these Terms. If you fail to meet any of these requirements, we, along with our developer partners, reserve the right to suspend or close your account, with or without prior notice.
2. Playing Conditions
a. You must be at least 18 years old, or meet the higher legal age requirement of your jurisdiction, and be legally permitted to participate in the games available on the Platform in accordance with applicable laws.
b. You acknowledge that various rules, regulations, and laws governing sweepstakes, contests, and tournaments (with or without entry fees or prizes) (collectively referred to as "Gaming Laws") govern your participation in competitions. These laws differ by U.S. state, country, territory, or jurisdiction. Consequently, the software does not permit Cash Competitions for users in regions where such competitions violate local Gaming Laws (referred to as a "Prohibited Jurisdiction"). If you are located in a Prohibited Jurisdiction, you are prohibited from entering Cash Competitions.
c. As of the "Updated" date above, in the United States, Prohibited Jurisdictions include Delaware, Louisiana, Maryland, Montana, Tennessee, Indiana, Maine, and Texas. It is your responsibility to ensure that your location does not fall under a Prohibited Jurisdiction. We, along with our developer partners, reserve the right (but are not obligated) to monitor your location. If you are accessing from a Prohibited Jurisdiction, we may block your access. Each time you log in to participate in a Cash Competition, you must accurately confirm your location.
d. You participate in the games strictly for personal enjoyment and entertainment purposes.
e. You participate for yourself and not on behalf of another person.
f. All the information you provide to us while these Terms and Conditions are in effect must be true, complete, and accurate. You must promptly inform us of any changes to this information.
g. You must refrain from engaging in any fraudulent, collusive, match-fixing, or otherwise illegal activities concerning your or others' participation in games. Using software-assisted methods (such as automated bots) or hardware devices to participate in games is also prohibited. We reserve the right to nullify any participation in such cases.
h. You may not sell, trade, or attempt to sell or trade, or accept as a sale or trade any merchandise provided to you by us.
3. User Account
a. You are permitted to maintain only one Customer Account on the Platform, including any inactive accounts. If you attempt to open more than one account, all accounts (whether active or not) may be suspended or terminated.
b. If you notice that you have more than one registered Customer Account (active or inactive) on any platform, you must immediately inform us. You should not create a new account if you wish to update your email, address, or surname.
c. It is your sole responsibility to ensure the security of your Customer Account login details and payment methods, ensuring that only you can access them. You will be held fully responsible for any unauthorized use of your account, including activities conducted by minors (which is strictly prohibited).
d. You should not share your Customer Account or password with others, and you should not allow anyone else to access or use your account. Any actions that may jeopardize your account's security are prohibited.
e. If you believe or suspect that your Customer Account's security has been compromised (such as through password loss, theft, or unauthorized disclosure), you must notify us immediately.
f. You are responsible for keeping your password confidential and are accountable for all activity associated with your Customer Account.
g. You are fully responsible for everything that happens through your Customer Account, even if you did not directly perform the actions. Your account may be terminated if someone uses it to engage in activities that violate these Terms or any applicable laws.
h. We are not responsible for any third-party misuse of your Customer Account if login details were disclosed by you, whether intentionally or accidentally.
i. We reserve the right to close your Customer Account if it is deemed inactive.
j. If there have been no transactions on your Customer Account for 30 consecutive months, we will transfer the redeemed value of prizes to you, in accordance with applicable law.
4. Winnings, Account Funds, and Payments
a. Fees: The fees associated with competition participation ("Fees") and the billing process are outlined in the billing application. By using the services, you agree to pay these Fees. All Fees are in U.S. Dollars, must be prepaid, and are non-refundable. You are fully responsible for all charges, including unauthorized transactions.
b. Billing: As an agent for our developer partners, we may change the Fees and billing processes. By providing a payment method, you confirm that you are authorized to use it and that the payment details are correct. You authorize us to charge for services and any paid features you select. If billing errors occur, you must inform us within 120 days. After that, we are not liable for errors.
c. Cash Deposits: If you participate in a competition without depositing U.S. Dollars into your account, you are classified as a "Non-Cash Player." If you enter a competition requiring an entry fee in U.S. Dollars ("Cash Competition"), you are a "Cash Player." You must maintain accurate details, such as your full name and payment information, for these transactions.
d. Bonus Funds: As a Cash Player, you may receive bonus funds ("Bonus Funds") that can be used for Cash Competitions but cannot be withdrawn. Any winnings from Cash Competitions will be paid in U.S. Dollars after using the Bonus Funds for the entry fee.
e. Withdrawals: Cash Players can request a withdrawal from their account balance. However, Digital Assets and Bonus Funds are not withdrawable. Withdrawal requests may take up to 90 days and could be delayed for investigations.
f. Refund Policy: No refunds will be provided unless required by law.
g. Winnings: If you are eligible for winnings, you must prove that you were eligible according to these Terms at the time of participation. If you are unable to provide satisfactory proof, you will not receive your winnings.
h. Credit Card/PayPal Use: You must ensure that the payment methods used, such as credit cards or PayPal, are authorized and updated. Any fraudulent attempts or failure to pay will result in account termination.
5. Intellectual Property
a. Under the DMCA, copyright owners who believe their rights have been infringed can send a notice for action.
b. Your Content: By using the Platform, you grant us a worldwide, royalty-free license to use your content in any form. You waive moral rights to the content you submit.
c. Digital Assets: Digital objects, such as avatars, are owned by us. You grant us a license to use, modify, and exploit these assets.
d. Ownership: All content on the Platform, including trademarks and intellectual property, is owned by us.
6. Indemnity and Limitation of Liability
a. We are not liable for any damages or losses arising from your use of the services.
b. Liability Limitations may vary by jurisdiction, but our aggregate liability is limited.
7. Responsibility
You must ensure that all user-submitted content complies with applicable laws, and refrain from submitting inappropriate material. We have the discretion to remove any content.
8. Miscellaneous
Governing Law: This Agreement is governed by the laws of the State of Nevada.
Dispute Resolution: Mandatory Arbitration: Any disagreement, controversy, or claim that arises from or is related to this Agreement, including issues about its formation, interpretation, whether it has been breached, its termination, or its overall validity, must be resolved through binding arbitration. This arbitration will be managed by the American Arbitration Association ("AAA") following its Commercial Arbitration Rules. This method of dispute resolution offers a more efficient and often less formal alternative to traditional court proceedings.
Waiver: Failing to enforce a right does not waive it.
